AMIVA Equity Partners has been retained to advise on the sale of a two-office dental platform located approximately 70 miles from a top-30 U.S.
metro area in Pennsylvania. The Company offers a differentiated clinical model featuring in-house IV sedation with dental anesthesiologists and hospital dentistry under a written facility agreement — capabilities rarely found outside urban DSO networks. With nearly two decades of operating history, a full complement of seven dentists (five with 8+ years of tenure), and deep community trust, the platform provides a compelling foundation for continued growth. Current ownership, which acquired the practice in September 2025, re-engineered the operating model within twelve months — migrating to a cloud-based practice management system, implementing daily KPI dashboards, consolidating supply vendors, and right-sizing the cost structure. These initiatives drove Adjusted EBITDA from approximately $0.23M (5.3% margin) under prior ownership to $1.05M (16.2% margin) in the first full fiscal year, with an additional ~$171K of identified pro forma upside from billing insourcing. Multiple organic growth levers remain, including payer-mix optimization, implant capacity expansion, and geographic expansion into seven surrounding underserved counties.
Key highlights
- Adjusted EBITDA of $1.05M (16.2% margin), up from $0.23M (5.3%) under prior ownership — a demonstrated step-change in profitability
- Clinical moat: in-house IV sedation and hospital dentistry keep complex, higher-margin cases in-house rather than referring out
- Seven dentists with strong tenure (five at 8+ years) and a robust recruiting pipeline through university affiliations approximately one hour away
- Significant payer-mix upside: Medicaid currently ~44% of production, with implants, hospital cases, and fee renegotiation as levers to shift toward commercial and self-pay
- Proximity to a 2.4M-person metro area draws patients from approximately seven surrounding counties and across state lines
- Re-engineered platform with cloud-based systems, daily KPI visibility, and consolidated vendor relationships — ready for day-one integration by a DSO or strategic acquirer
